EXHIBITOR CONTRACT (revised August 2018)

By clinking AGREE with the Vendor Rules and Regulations terms and conditions, including all Addendums as required for each event in particular, when submitting the Vendor Registration Form and the payment for participating in any of the company’s events and receiving the confirmation for participation, Vendor agrees and understands that it represents a binding contract. It is the vendor’s responsibility to carefully read in its entirety the Vendor Rules and Regulations stipulated in the Vendor registration Form. 

Cancellations. The festival will be held, rain or shine. If a vendor chooses not to participate in the event, the vendor understands that no refunds will be issued for any reason whatsoever. In case of the No Call, No Show situation, vendor understands that they will not be accepted to participate in any of the company’s future festivals and events.

Copyright.  Vendor assigns the copyright in all works created or derived as a result of, or ancillary to, this agreement or Vendor’s actions pursuant to this agreement to Royal Events Group L.L.C. Vendor also agrees that it shall not retain any products or event materials, film, digital media, photographic prints or electronic files related to the performance of this contract unless it obtains written permission from Royal Events Group L.L.C.

Indemnity. While Event premises are being occupied under this agreement, the Organizer Royal Events Group L.L.C. will provide no insurance; any insurance must be placed and paid by the exhibitor. Vendor agrees to indemnify, defend, and hold the Organizer, Royal Events Group L.L.C. harmless from any claims made by any person arising from or relating to in any action, suit, or proceeding, arising out of law or equity and to fully indemnify Royal Events Group L.L.C. for damages related to Vendor’s performance of this contract. Vendor acknowledges that in addition to regular damages related to a failure to perform this contract, Vendor may also be liable to Royal Events Group L.L.C. for consequential damages such as lost business opportunities.

Vendors agree to hereby indemnify and hold harmless the Organizer, Royal Events Group L.L.C. and its subsidiaries, affiliates, officers, directors, shareholders, agents and employees free, clear and harmless, from and against any and all losses, liabilities, costs, expenses (including amounts paid in settlements and reasonable attorney’s fees), claims, penalties, judgments and damages, resulting from or arising out of, by reason of any act, omission or negligence of the Vendor or its representative agents, employees or other vendor associates in any way connected with or arising out of any accident, injury or damage-and these can include and be detailed-any breach of representation, injury to person or property, any activity conducted or action taken by the organizer, directly or indirectly, in conjunction with the agreement. If for any reason beyond its control, including but not limited to strike, labor dispute, accident, act of war, act of God, fire, flood or other emergency condition, the organizer is unable to perform its obligations under this agreement, such non-performance is excused and the organizer may terminate the agreement without further liability of any nature. In no event shall the organizer be liable for consequential damages of any nature for any reason whatsoever. 

Delegation.  Vendor may not delegate any of its responsibilities under this agreement to a third party.

Waiver.  Any waiver of or failure to enforce any term of this agreement by either of the parties shall not be considered a continuing waiver as to any such term or condition. 

Severability.  If any provision of this agreement is declared invalid, then the remainder of the agreement will remain in force and intact.

Integration.  This Contract incorporates the entire understanding of the parties. Any modifications of this Contract must be in writing and signed by both parties. This Agreement may not be amended except in a writing signed by both Company and the Vendor.

Enforcement. In the event Royal Events Group L.L.C. is required to engage the services of an attorney to enforce this Contract, and if Royal Events Group L.L.C. prevails in any such efforts, the Vendor shall also be responsible for any pay Royal Events Group L.L.C. all costs and expenses of enforcement, including but not limited to reasonable attorney fees.  In the event of any legal dispute between the parties, the parties agree that the exclusive venue for any such proceeding shall be a court of competent jurisdiction embracing Fairfax County, Virginia. 

Headings.  The headings used in this agreement are for ease of reference only, and are not intended to limit or describe the terms, conditions, and provisions of any part of this agreement. 

Interpretation.  The parties agree that they have each had the opportunity to review and proposed changes to this form of agreement.  Therefore, the parties agree that in the event of any ambiguity, that no construction shall be undertaken by any court, tribunal, or finder of fact to the effect that any one party had any greater or lesser role in the drafting of this agreement.

THE VENDOR CERTIFIES THAT THE INFORMATION ON THE VENDOR CONTRACT IS A CORRECT DEPICTION OF THE SERVICES AND PRODUCTS TO BE PROVIDED BY THE VENDOR AT THE EVENT. THE VENDOR UNDERSTANDS THAT FAILURE TO FOLLOW VENDOR PERMIT TERMS AS DESCRIBED AND STIPULATED HEREIN WILL RESULT IN INELIGIBILITY FOR THIS AND FUTURE EVENTS. THE VENDOR FURTHER AGREES TO ABIDE BY ALL TERMS OF THE VENDOR PERMIT FOR THIS EVENT AND TO HOLD HARMLESS AND INDEMNIFY ROYAL EVENTS & WEDDINGS LLC AGAINST ANY CLAIMS ARISING BY VIRTUE OF THEIR OCCUPANCY OF VENDOR SPACE AND PARTICIPATION IN THIS EVENT.
